General Definitions

  • The Company: PartsFe Canada

  • The Buyer: The individual, business, or organization entering into a contract with the Company, including any delivery address specified in connection with an order.

  • The Contract: Any agreement for the sale and purchase of goods based on these terms and conditions made between the Buyer and the Company.

These terms and conditions apply when the Buyer (Customer) purchases goods outlined in our quotation from us (Supplier). By accepting the quotation or upon delivery of the goods (whichever happens first), the Buyer acknowledges and agrees to these terms and conditions, which constitute the entire agreement between the Buyer and the Company. The quotation and these terms and conditions (the "Contract") govern the purchase and sale of goods between the Buyer and the Company.

General Interpretation & Definitions

  • A "business day" refers to any day from Monday to Friday other than weekends and public holidays.

  • The titles in these terms are for convenience only and do not affect their interpretation.

  • Words in the singular also include the plural, and vice versa.

Description of Goods

  • The materials in our catalog, brochures, and website are intended to provide a general description of the goods.

  • Despite our best efforts to ensure the accuracy of product specifications, sizes, prices, and images, actual products may vary slightly from their representation due to continuous improvements.

  • The description of goods in our quotation and/or sales order forms part of the contract, and by accepting these documents, the Buyer agrees that no reliance has been placed on any other representations or promises regarding the goods.

Orders

  • The Buyer is responsible for ensuring that orders are accurate.

  • Trial sales are not available for the goods. The Buyer should review specifications and suitability before placing an order. By ordering, the Buyer confirms that they have assessed the specifications and suitability of the products. The Company does not guarantee suitability for specific uses or for fitting through doors or entry points.

  • Accepted orders can be canceled based on stock availability, fraud concerns, or if the item is no longer available at shipment time.

Price of Goods

  • Prices are inclusive of applicable taxes (e.g., VAT).

  • Prices listed do not include delivery fees unless otherwise stated.

  • Prices are for the goods only and do not cover installation.

  • Any discounts offered are at the discretion of the Company.

  • Quoted prices may change if price updates occur between quotation and order.

  • Orders placed on our website are subject to acceptance by the Company.

  • Full payment is required at the time of ordering.

Delivery
Goods must be delivered to the address specified in the buyer's purchase order within the timeframe outlined by the seller. 

  • All delivery times are estimates. 

  • While the Company will make every effort to deliver items on time, even if the buyer opts for expedited or guaranteed services, delivery is not guaranteed. The Company is not liable for any delays, non-delivery, or associated costs incurred by the buyer.

  • Products must be inspected upon delivery or pickup. Any damages, discrepancies, or shortages must be reported in writing within 24-48 hours of delivery, along with relevant details and, if possible, photographic evidence. The buyer must allow a reasonable opportunity for the Company or carrier to inspect damaged items. 

  • Returns are at the buyer’s own risk and expense.

  • If the goods are not suitable, the buyer has the right to reject them. 

  • The Company assumes no liability for delivery delays or non-delivery. All delivery times are merely approximate.

  • Orders will be delivered based on the Company's available stock. 

Deliveries are made curbside, and the buyer is responsible for arranging resources to transport items to their desired location. The Company is not liable for any failure on the buyer’s part to ensure adequate space for delivery. Deliveries may be refused if the premises are deemed unsuitable for the shipping vehicle, or if the delivery would be unsafe, illegal, or overly difficult.

Upon delivery, it is the buyer’s responsibility to inspect the goods. Refer to our Shipping & Handling policy for more information.

Returns

  • Once an order is placed, it cannot be canceled. 

  • Returns are accepted within 30 days from the order delivery date.

  •  Incorrectly ordered items can only be returned with prior authorization from the Company. Unauthorized returns will not be accepted. A Return Merchandise Authorization Number (RMA Number) must be issued before returning any items. Cancellation requests are only accepted via email at [email protected]

  • Return requests made by phone or chat will not be processed.

  • Items must be returned in their original, undamaged packaging, with all manuals, and without signs of use. 

  • Special order items are not eligible for returns

Returns can only be made under the following conditions:

  • A prior written agreement from the Company,

  • Payment of any applicable handling or restocking fees,

  • The goods are unused, undamaged, and in their original packaging.

The buyer is responsible for all return shipping costs and must ensure that the goods are adequately insured during the return process. The Company is not liable for any loss or damage to returned goods during transit. Refer to our Returns & Refunds policy for more information.

Warranties
Apart from the warranty provided by the original manufacturer, the Company offers no other warranties or guarantees. We disclaim any implied warranties regarding the products' quality or suitability for a particular purpose.

Specifications
The quality and description of the products provided on the website are based on manufacturer information. As the buyer, it is your responsibility to ensure the products are suitable for your intended use and do not violate any laws, regulations, or third-party intellectual property rights.

Liability
The Company is not liable for any damages resulting from representations, contract breaches, delivery delays, negligence, or other causes. This includes, but is not limited to, direct, indirect, incidental, or consequential damages, such as loss of revenue, data, or profits. Your statutory rights as a consumer are not affected.

The Company is not responsible for any default caused by events beyond its control, including natural disasters, wars, strikes, lockouts, industrial action, fires, or other uncontrollable circumstances.

Governing Law

All disputes arising from this contract will be governed by the jurisdiction of Canadian courts.
